New Iceland Arctic Acquisition

We are a newly organized blank check company or special purpose acquisition company, incorporated for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or other similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target, and to date, our efforts have been limited to organizational activities and activities related to this offering. Although we may pursue a business combination target in any industry or geographic region, we intend to focus our search on businesses in, or with a strategic connection to, Iceland and the broader Arctic region. However, we are not limited to these regions or any particular industry, and we may pursue an initial business combination anywhere in the world and in any sector we believe presents an attractive opportunity. Our Icelandic and American management team combines experience across institutional asset management, private equity, mergers and acquisitions, legal and regulatory matters, capital markets and strategic advisory services, having founded, built, led, advised and invested in businesses across multiple jurisdictions. We pair our deep knowledge of the Icelandic corporate landscape with international capital markets experience. Over many years, our team has worked with Icelandic companies and public institutions across a broad range of industries and transactions, while maintaining long-standing relationships with entrepreneurs, business owners, management teams, institutional investors, financial institutions and public sector entities in Iceland and internationally.
